1) Scope

1.1 These General Terms and Conditions (hereinafter "GTC") of Novu Limited (hereinafter "Seller") apply to all contracts for the delivery of goods that a consumer or entrepreneur (hereinafter "Customer") concludes with the Seller regarding the goods presented by the Seller in its online shop. The inclusion of the Customer’s own terms and conditions is hereby rejected unless otherwise agreed.

1.2 A consumer within the meaning of these GTC is any natural person who concludes a legal transaction for purposes that predominantly cannot be attributed to their commercial or self-employed professional activity.

1.3 An entrepreneur within the meaning of these GTC is a natural or legal person or a legally capable partnership who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.


2) Conclusion of Contract

2.1 The product descriptions contained in the Seller’s online shop do not constitute binding offers by the Seller but serve to enable the Customer to submit a binding offer.

2.2 The Customer may submit the offer via the online order form integrated into the Seller’s online shop. After placing the selected goods in the virtual shopping cart and completing the electronic ordering process, the Customer submits a legally binding contractual offer with respect to the goods contained in the shopping cart by clicking the button concluding the order process.

2.3 The Seller may accept the Customer’s offer within five days:

  • by sending the Customer a written order confirmation or an order confirmation in text form (fax or email), whereby receipt of the confirmation by the Customer is decisive; or

  • by delivering the ordered goods to the Customer, whereby receipt of the goods by the Customer is decisive; or

  • by requesting payment from the Customer after submission of the order.

If several of the above alternatives occur, the contract is concluded at the time when the first of these alternatives occurs. The period for acceptance of the offer begins on the day after the Customer sends the offer and ends at the expiration of the fifth day following dispatch of the offer. If the Seller does not accept the offer within this period, this shall be deemed a rejection of the offer with the consequence that the Customer is no longer bound by their declaration of intent.

2.4 If a payment method offered by PayPal is selected, payment processing is carried out via PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg ("PayPal"), subject to PayPal’s terms of use available at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full or – if the Customer does not have a PayPal account – subject to the terms for payments without a PayPal account available at https://www.paypal.com/de/webapps/mpp/ua/privacywax-full. If the Customer selects a PayPal payment method, the Seller hereby declares acceptance of the Customer’s offer at the moment the Customer clicks the button concluding the order process.

2.5 If the payment method "Amazon Payments" is selected, payment processing is carried out via Amazon Payments Europe s.c.a., 38 avenue John F. Kennedy, L-1855 Luxembourg ("Amazon"), subject to Amazon’s terms available at https://payments.amazon.de/help/201751590. By clicking the button concluding the order process and selecting Amazon Payments, the Customer also issues a payment instruction to Amazon. The Seller hereby declares acceptance of the offer at that moment.

2.6 After conclusion of the contract, the contract text is stored by the Seller and sent to the Customer in text form (e.g., email, fax, or letter). No further access to the contract text is provided. If the Customer has created a user account prior to submitting the order, the order data is archived and can be accessed free of charge via the password-protected account.

2.7 Before submitting a binding order, the Customer can identify input errors by carefully reviewing the information displayed on the screen. The browser’s zoom function may assist. The Customer can correct entries using standard keyboard and mouse functions until clicking the order button.

2.8 The contract language is exclusively German.

2.9 Order processing and communication generally take place via email and automated order processing. The Customer must ensure that the email address provided is correct and that emails from the Seller are not blocked by spam filters.


3) Right of Withdrawal

3.1 Consumers are generally entitled to a right of withdrawal.

3.2 Details are provided in the Seller’s withdrawal policy.

3.3 The right of withdrawal does not apply to consumers who, at the time of contract conclusion, are not members of the European Union and whose sole residence and delivery address are outside the European Union.


4) Prices and Payment Terms

4.1 Unless otherwise stated, prices are total prices including statutory VAT. Additional shipping costs are stated separately.

4.2 For deliveries outside the EU, additional costs may arise (e.g., transfer fees, exchange rate fees, import duties, taxes), which must be borne by the Customer.

4.3 Available payment methods are communicated in the online shop.

4.4 If advance payment via bank transfer is agreed, payment is due immediately upon conclusion of the contract.

4.5 If Stripe is selected, payment is processed via Stripe Payments Europe Ltd., Dublin, Ireland. Further information: https://stripe.com/de.

4.6 If Klarna is selected, payment is processed via Klarna Bank AB (publ), Stockholm, Sweden. Further information: https://novucraft.com/datenschutzerkärung.


5) Delivery and Shipping Conditions

5.1 Delivery is made within the specified delivery area to the address provided by the Customer.

5.2 If delivery fails for reasons attributable to the Customer, the Customer bears the reasonable costs incurred.

5.3 Risk transfer rules apply differently for entrepreneurs and consumers, as defined under German law.

5.4 The Seller reserves the right to withdraw in case of incorrect or improper self-supply, provided the Seller is not responsible.

5.5 Self-collection is not possible.


6) Retention of Title

If the Seller makes advance performance, ownership of the goods remains with the Seller until full payment is received.


7) Liability for Defects (Warranty)

Statutory warranty provisions apply, with modifications for entrepreneurs (one-year limitation for new goods, exclusion for used goods, etc.).

Limitations do not apply in cases of fraud, building materials use, digital updates obligations, or statutory recourse rights.

Commercial inspection and notification obligations under § 377 HGB apply to merchants.


8) Redemption of Promotional Vouchers

Promotional vouchers:

  • Only valid in the online shop

  • Only valid during the specified period

  • Only one per order

  • Not redeemable for cash

  • Not refundable upon withdrawal

  • Transferable unless the Seller has knowledge of unauthorized use


9) Applicable Law

German law applies, excluding CISG.

For consumers, mandatory protections of their country of residence remain unaffected.


10) Place of Jurisdiction

Exclusive jurisdiction rules apply depending on whether the Customer is a merchant and where they are located.


12) Alternative Dispute Resolution

12.1 The EU Commission provides an Online Dispute Resolution platform:

12.2 The Seller is neither obligated nor willing to participate in dispute resolution before a consumer arbitration board.
